Resonance Coherent Holdings LLC Effective Date: April 2026

Please read these Terms of Service ("Terms") carefully before using resonancecoherentsystems.com or any associated services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Who We Are

The Platform is operated by Resonance Coherent Holdings LLC, a Delaware limited liability company ("Resonance," "we," "us," or "our"). The Platform provides access to the Resonance Field State System (RFS-X) and associated research instrumentation tools.

2. Acceptance of Terms

By creating an account, accessing any portion of the Platform, or using any data or outputs provided through the Platform, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to comply with them in full.

3. Description of Service

The Platform provides scientific instrumentation data, field state monitoring outputs, and associated research tools derived from publicly available solar, geomagnetic, and space weather data sources. Services are provided across tiered access levels as described on the Pricing page. Resonance reserves the right to modify, suspend, or discontinue any feature or tier at any time with reasonable notice.

4. User Accounts

Registration. Certain features require account registration. You agree to provide accurate, complete, and current information and to maintain the accuracy of that information.

Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you believe your account has been compromised.

Single-Session Enforcement. Individual tier accounts are limited to a single active session at a time. Concurrent session use associated with an individual account is a violation of these Terms and may result in suspension.

Account Termination. We reserve the right to suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or use the Platform in a manner that causes harm to Resonance or other users.

5. Access Tiers and Billing

Tiers. The Platform offers multiple access tiers including Free (Tier 0), Observer (Tier 0.5), Operational (Tier 1), and Integrated (Tier 2), as described on the Pricing page. Features and data access vary by tier.

Billing. Paid tiers are billed on a recurring basis via Stripe. By subscribing to a paid tier, you authorize Resonance to charge your designated payment method on the applicable billing cycle.

Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial periods except where required by applicable law.

Refunds. Refund requests are evaluated on a case-by-case basis. Contact [email protected] within 7 days of a charge if you believe an error has occurred.

Organizational Accounts. Organizational tier subscriptions include internal redistribution rights as described on the Pricing page. These rights do not extend to commercial resale or redistribution outside the subscribing organization.

Invoicing. Net-30 invoicing is available for Organizational and Integrated tier accounts. Contact [email protected] to establish invoice billing.

6. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy (available at /acceptable-use). You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable regulation
• Attempt to gain unauthorized access to any part of the Platform or its underlying infrastructure
• Circumvent, disable, or interfere with security features of the Platform
• Use automated means to scrape, harvest, or extract data beyond what is permitted by your tier and the Acceptable Use Policy
• Misrepresent Platform outputs as official government, emergency, or regulatory communications
• Represent Platform data as constituting financial, medical, legal, or emergency preparedness advice

7. Intellectual Property

Platform Content. All content, software, data models, derived metrics, shape library classifications, methodology documentation, and research outputs produced by Resonance are the intellectual property of Resonance Coherent Holdings LLC and are protected by applicable copyright, trade secret, and intellectual property laws.

Research Publications. Papers deposited to Zenodo or other preprint repositories are subject to the terms of their respective licenses as specified at the time of deposit.

User Content. You retain ownership of any data or content you upload to the Platform. By uploading content, you grant Resonance a limited, non-exclusive license to process that content for the purpose of providing the service.

Feedback. Any feedback, suggestions, or ideas you provide regarding the Platform may be used by Resonance without compensation or attribution to you.

8. Third-Party Services

The Platform integrates with third-party services including Stripe (payment processing) and cloud infrastructure providers. Your use of those services is subject to their respective terms and privacy policies. Resonance is not responsible for the practices of third-party services.

9. Disclaimers

THE PLATFORM AND ALL DATA, OUTPUTS, AND CONTENT PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. RESONANCE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

PLATFORM OUTPUTS ARE SCIENTIFIC INSTRUMENTATION DATA INTENDED FOR RESEARCH AND MONITORING PURPOSES ONLY. THEY DO NOT CONSTITUTE AND SHOULD NOT BE RELIED UPON AS FINANCIAL, MEDICAL, LEGAL, EMERGENCY PREPAREDNESS, OR ANY OTHER FORM OF PROFESSIONAL ADVICE. 10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RESONANCE COHERENT HOLDINGS LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF RESONANCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

RESONANCE'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO RESONANCE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for matters involving intellectual property or unauthorized access.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the Effective Date at the top of this page and, for material changes, notify registered users via email. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
